1. Introduction and Acceptance

These Terms of Use ("Terms") constitute a legally binding agreement between you and Capx Ecosystem Apps FZE ("Company," "we," "us," or "our") governing your access to and use of the Reply Guy mobile application (the "Application"). By downloading, installing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Application.

We reserve the right to modify these Terms at any time. Your continued use of the Application following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age to use the Application. By using the Application, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. The Application is designed for use with Twitter/X, and you must comply with Twitter/X's Terms of Service in addition to these Terms.

3. Description of Service

Reply Guy is an artificial intelligence-powered application designed to help users discover engagement opportunities on Twitter/X and generate relevant reply suggestions. The Application provides curated feeds of tweets, AI-generated reply suggestions based on your Twitter profile and style, and tools to manage your Twitter engagement strategy.

The Application requires authorization to access your Twitter/X account through Twitter's official API. Reply Guy is not affiliated with, endorsed by, or sponsored by Twitter, Inc., X Corp., or any of their subsidiaries. Twitter and X are trademarks of their respective owners.

4. Account Registration and Security

To use the Application, you must create an account and authorize access to your Twitter/X account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms.

5. In-App Purchases

The Application offers boost packages that provide credits for discovering engagement opportunities. Boost packages are consumable, one-time purchases that do not automatically renew.

5.1 Boost Credits

Boost credits are consumed when you use the discovery feature to find new tweet opportunities. Each discovery session uses one boost credit. Boost credits do not expire and remain in your account until used.

5.2 Purchase and Payment

All purchases are processed through Apple's App Store. By making a purchase, you agree to Apple's terms and conditions for in-app purchases. Prices are displayed in your local currency at the time of purchase and may vary by region.

5.3 Refunds

All purchases are final. Refunds are handled exclusively by Apple in accordance with their refund policies. We do not process refunds directly. If you believe you are entitled to a refund, please contact Apple Support.

5.4 Price Changes

We reserve the right to change the pricing of boost packages at any time. Price changes will not affect previously purchased credits.

6. AI-Generated Content

The Application uses artificial intelligence to generate reply suggestions based on your Twitter profile and communication style. You acknowledge and agree that:

  • AI-generated suggestions are provided as recommendations only and may not always be accurate, appropriate, or suitable for your intended purpose;
  • You are solely responsible for reviewing, editing, and approving any content before posting it to Twitter/X;
  • Once you post content to Twitter/X, whether AI-suggested or modified, you assume full responsibility for that content;
  • We do not endorse, verify, or guarantee the accuracy, appropriateness, or effectiveness of any AI-generated suggestions;
  • The AI may occasionally generate content that is incorrect, inappropriate, or inconsistent with your intended message. You should always review suggestions before posting.

Your use of AI-generated suggestions is at your own risk. We are not liable for any consequences arising from content you choose to post on Twitter/X.

7. Acceptable Use Policy

You agree to use the Application only for lawful purposes and in accordance with these Terms. You agree not to use the Application to:

  • Engage in spam, harassment, or any form of abusive behavior on Twitter/X;
  • Violate Twitter/X's Terms of Service, automation rules, or API usage policies;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Interfere with or disrupt the Application or servers connected to the Application;
  • Attempt to gain unauthorized access to any portion of the Application;
  • Use the Application for any illegal or unauthorized purpose;
  • Transmit any viruses, malware, or other malicious code.

We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.

8. Intellectual Property Rights

The Application and its original content, features, and functionality are owned by Capx Ecosystem Apps FZE and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Application for personal, non-commercial purposes in accordance with these Terms.

The AI-generated reply suggestions provided by the Application are tools for your use. You retain ownership of any content you create or post using the Application, and you are solely responsible for the content you choose to post on Twitter/X.

9. Third-Party Services

The Application integrates with Twitter/X and other third-party services. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party services.

Changes to Twitter/X's API, terms of service, or platform functionality may affect the availability or functionality of certain features of the Application. We are not liable for any changes made by third parties that affect the Application.

10. Disclaimers and Limitation of Liability

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not guarantee any specific results from using the Application, including but not limited to increases in Twitter followers, engagement, or reach. The effectiveness of the Application depends on many factors outside our control.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CAPX ECOSYSTEM APPS FZE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE APPLICATION.

11. Indemnification

You agree to defend, indemnify, and hold harmless Capx Ecosystem Apps FZE and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or related to your use of the Application, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may terminate or suspend your access to the Application immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Application will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Application shall be resolved through binding arbitration in accordance with the rules of the Dubai International Arbitration Centre.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Capx Ecosystem Apps FZE regarding your use of the Application and supersede any prior agreements.
